Your continued use of the Site constitutes acceptance of these Terms.

1. ACCEPTANCE OF TERMS

By visiting the Site, making a purchase, creating an account, or downloading products, you agree that:

• You are legally able to enter a binding contract
• You will comply with these Terms and all applicable laws
• You have read and understand our Refund Policy, Privacy Policy, and Licensing Terms

2. DIGITAL PRODUCT LICENSE (ONE PURCHASE = ONE LICENSE)

All digital products, templates, stock images, and AI-generated content sold on this Site are licensed—not sold—to you.

Upon purchase, you receive a single-user, non-exclusive, non-transferable, revocable license to use the product for your own personal or business use only.

You MAY:

• Use templates, graphics, images, or downloads for your own business marketing
• Customize purchased templates for your brand
• Use stock or AI images on your website, social media, marketing materials, etc.

You MAY NOT:

• Share, gift, or transfer products to others
• Distribute, resell, or sublicense any product
• Use Bloom templates or assets to create deliverables for clients
• Claim the designs or assets as your own original work
• Extract AI images to use in commercial resell or stock platforms
• Create derivative templates or competing products using Bloom assets
• Upload files to shared drives or resource libraries

Violation of these Terms will result in immediate license termination and potential legal action.

3. AI-GENERATED CONTENT DISCLOSURE

Some products include AI-generated materials. By purchasing, you acknowledge:

• AI images may resemble existing works
• AI outputs are not guaranteed to be copyright-protected
• You are responsible for ensuring your intended use is legally compliant
• Company does not guarantee exclusivity or uniqueness
• Company is not liable for similarities between AI-generated images and other images online

You agree not to train AI models using Bloom assets or repurpose outputs as stand-alone products.

4. PAYMENT TERMS

By purchasing, you authorize Company (and Shopify Payments, PayPal, Stripe, and other processors) to charge your selected payment method.

All sales are final. Customer agrees not to:

• Initiate chargebacks
• Dispute payments
• Cancel the payment method used
• Interrupt installment plans (if offered)
• Claim fraud for a purchase they intentionally made

If a payment fails:

• Access to products may be revoked
• A 10% late fee may apply every 30 days
• Chargebacks incur a 20% administrative fee
• Company may pursue collections

5. NO REFUNDS – ALL SALES FINAL

Due to the instant-access nature of digital products:

No refunds, returns, cancellations, or exchanges are allowed for any reason.

This includes:

• Change of mind
• Incompatibility with your software or device
• Failure to download, save, or back up files
• Not using the product
• Expectation differences
• AI variability
• Duplicate purchases

Once a digital product is delivered (including instant downloads), it is considered fully fulfilled.

6. DELIVERY OF DIGITAL PRODUCTS

Digital products are delivered instantly via:

• On-screen download
• Email from Shopify
• Customer account portal (if available)

Customer is responsible for:

• Correct email address entry
• Downloading the files promptly
• Backing up their digital assets
• Ensuring device/software compatibility

Company is not responsible for lost files after delivery.

7. PROHIBITED CONDUCT

You agree NOT to:

• Use Bloom products for client work
• Recreate Bloom products for resale
• Use Bloom assets to build competing templates
• Circumvent Shopify’s download or access systems
• Share login credentials
• Use products for illegal or unethical purposes
• Resell AI content or claim exclusive rights

8. INTELLECTUAL PROPERTY OWNERSHIP

All content on this Site—including templates, copy, graphics, code, images, AI outputs, and layouts—is the exclusive property of:

Rosebud & Co. Creative, LLC d/b/a Bloom by Rosebud

Nothing in your purchase grants you ownership.
All rights not expressly granted remain with Company.

Unauthorized use may result in:

• DMCA takedowns
• License revocation
• Liquidated damages
• Legal action

9. USER ACCOUNTS

You are responsible for:

• Protecting your login credentials
• All activity under your account
• Not sharing your account with others

Company may disable or terminate accounts that violate these Terms.

10. THIRD-PARTY SERVICES (Shopify + Pixels + Apps)

Our store runs on Shopify and integrates with:

• Google Analytics
• Meta/Facebook Pixel
• Pinterest Tag
• ActiveCampaign

By using the Site, you consent to data collection and processing through these platforms.

Company is not responsible for:

• Third-party outages
• Tracking pixel errors
• Shopify platform issues
• Data loss caused by third-party apps

11. DISCLAIMERS

Bloom by Rosebud provides educational and informational digital products only.
We do not guarantee:

• Sales or income growth
• Social media results
• AI output quality or uniqueness
• Business outcomes
• Legal compliance of your marketing materials
• Compatibility with future software updates

Products are provided “as-is” without warranties of any kind.

12. LIMITATION OF LIABILITY

To the fullest extent allowed by law:

• Company is not liable for consequential, incidental, or special damages
• Company’s total liability for any claim is limited to the purchase price of the product
• Company is not liable for business loss, lost profits, or data loss

13. DMCA & IP ENFORCEMENT

If we discover unauthorized use of Bloom products:

• Access will be revoked
• A DMCA notice may be issued
• Legal action may be taken
• Liquidated damages may apply

You agree to comply with all IP investigations and remove infringing content promptly.

14. GOVERNING LAW

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
